AI Portal — Terms of Access

1. Parties and Agreement

These AI Portal Terms of Access ("Portal Terms") govern your access to and use of the Calculus AI Labs portal and its suite of AI-powered tools (the "Portal"), provided by Calculus Labs LLC, a Delaware limited liability company managed by Calculus Management LLC (d/b/a Calculus Research) (collectively, "Calculus," "we," "us," or "our").

Access to the Portal is available upon request to qualified institutional partners and is granted at our sole discretion. By logging in to or using the Portal, you agree to these Portal Terms. These Portal Terms supplement and incorporate the main Terms of Service and Disclaimers for calculusresearch.io.

2. Portal Access — Who May Use It

The Portal is available exclusively to:

• Institutional clients — entities (not individuals acting in a personal capacity) that are existing or prospective lending clients, investors, or authorized partners of Calculus Research
• Authorized personnel — employees or contractors of such institutions who have been granted credentials

Access is provided at no charge to qualified partners as described in onboarding communications. We reserve the right to revoke access at any time without cause.

3. AI Products Available in the Portal

The Portal currently provides access to the following AI-powered tools. All outputs are for informational and analytical purposes only:

We may add, modify, or remove tools from the Portal at any time. The current product list reflects available tools at the time of these Portal Terms and may differ.

4. Nature of AI Outputs — Critical Limitation

You must understand and accept the following before using any Portal tool:

• No advice of any kind. AI outputs from the Portal do not constitute financial advice, investment advice, legal advice, credit decisions, regulatory guidance, or professional advice of any kind.
• Not a substitute for professional judgment. AI outputs are analytical aids only. All decisions — including lending decisions, investment decisions, legal interpretations, and credit evaluations — require independent human review by qualified professionals.
• AI can be wrong. AI models may produce inaccurate, outdated, fabricated, or incomplete outputs. Always verify outputs independently before acting on them.
• Not regulatory-validated. No Portal tool has been approved, validated, or endorsed by any financial regulator, securities authority, or professional licensing body.
• Not a commitment. No AI output from the Portal constitutes a commitment, pre-approval, or offer by Calculus Research to lend, invest, or transact on any terms.

5. Permitted Use

You may use the Portal to:

• Analyze deal structures, properties, or financial data in connection with your professional activities as a Calculus Research partner or client
• Research market conditions, comparable transactions, and sector data for internal business purposes
• Assist with internal document review, drafting support, or technical tasks at your organization
• Evaluate Calculus Research's AI capabilities in connection with a potential business relationship

6. Prohibited Use

You may not use the Portal to:

• Make or communicate credit decisions, investment decisions, or legal conclusions to third parties without appropriate human review and professional responsibility
• Generate, distribute, or publish outputs as if they were the product of a licensed professional (attorney, CPA, investment adviser, etc.) without appropriate oversight
• Share your access credentials with individuals outside your authorized organization
• Systematically extract, scrape, or reproduce Portal content or AI outputs for redistribution
• Use the Portal to violate any applicable law or regulation
• Probe, test, or attempt to circumvent security controls
• Input data belonging to third parties without authorization, or data subject to confidentiality obligations you cannot lawfully share
• Use AI tools to generate harmful, discriminatory, or illegal content

7. Data and Confidentiality

7.1 Your Data

Data you input into the Portal ("User Data") is processed to provide the AI tool outputs you request. We process User Data as described in our Privacy Policy. We do not use your User Data to train our or third-party AI models without your explicit written consent.

7.2 Sensitivity Warning

Do not input into the Portal: personally identifiable information about individuals without a lawful basis; data protected by attorney-client privilege or other professional privilege; classified, regulated, or export-controlled information; or data subject to confidentiality agreements that prohibit disclosure to third-party systems.

7.3 Our Confidential Information

The Portal, its AI models, system prompts, architectural details, and outputs are confidential information of Calculus Labs LLC. You may use outputs internally but may not publicly attribute them to Calculus Research's AI systems without our prior written consent.

8. Security

The Portal uses JWT authentication, role-based access controls, and encrypted transmission. You are responsible for:

• Keeping your credentials confidential and not sharing them
• Notifying us immediately if you suspect unauthorized access: finance@calculusresearch.io
• Ensuring devices used to access the Portal are reasonably secured

We maintain audit logs of Portal access. These may be reviewed in the event of a security incident or compliance inquiry.

9. Availability

The Portal is provided on a best-efforts basis and may be unavailable for maintenance or due to factors outside our control. No uptime commitment applies to free institutional access. Enterprise access with SLA commitments requires a separate agreement.

10. Intellectual Property

All Portal software, AI models, prompts, interfaces, and branding are owned by or licensed to Calculus Labs LLC. You receive a limited, non-exclusive, non-transferable license to use the Portal solely as permitted in these Portal Terms. No other rights are granted.

11. Disclaimer and Limitation of Liability

THE PORTAL AND ALL AI OUTPUTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, CALCULUS LABS LLC AND CALCULUS MANAGEMENT LLC SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON PORTAL OUTPUTS, INCLUDING ANY DECISION MADE IN CONNECTION WITH AI-GENERATED ANALYSIS.

12. Termination of Access

We may suspend or terminate your Portal access at any time, with or without cause, with or without notice. You may request termination by contacting us. On termination, the usage restrictions and liability provisions survive.

13. Governing Law

These Portal Terms are governed by the laws of the State of Delaware. Disputes are subject to the arbitration provisions in the main Terms of Service.
